4. Intellectual Property Rights

All content, materials, designs, methodologies, frameworks, software, documentation, and deliverables created, developed, or provided by UJ Services in connection with our professional work remain the intellectual property of UJ SERVICES LLC unless otherwise expressly agreed in a written contract. Upon full payment for services rendered, the Client receives a non-exclusive, non-transferable license to use the deliverables for their intended business purpose. 5. Client Obligations

Clients engaging UJ Services agree to the following obligations:

• Provide accurate, complete, and timely information necessary for the performance of services, including technical specifications, business requirements, and access to relevant systems or personnel.
• Cooperate with UJ Services personnel and make available appropriate resources and decision-makers as needed for project execution.
• Review and approve deliverables within agreed timeframes and provide timely feedback to avoid project delays.
• Pay all fees and expenses in accordance with the agreed payment schedule as outlined in the applicable service agreement.
• Maintain the confidentiality of any proprietary information shared by UJ Services during the course of the engagement.
• Ensure that any data, materials, or content provided to UJ Services does not infringe upon the rights of any third party or violate applicable laws.

6. Fees and Payment

Fees for services are outlined in the applicable Statement of Work, proposal, or service agreement provided to the Client. Payment terms, including due dates, late payment penalties, and acceptable payment methods, are specified in the applicable agreement. Unless otherwise agreed, all fees are payable in United States Dollars. Invoices not paid within the specified payment period may be subject to a late fee of one and one-half percent per month or the maximum rate permitted by law, whichever is less. UJ Services reserves the right to suspend services for accounts that are more than thirty days past due.

7. Limitation of Liability

To the maximum extent permitted by applicable law, UJ SERVICES LLC and its officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these terms, the use of our website, or the provision of services, including but not limited to loss of profits, loss of data, business interruption, or cost of procurement of substitute services. Our total liability for any claim arising under these terms or related to our services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim during the twelve-month period preceding the event giving rise to liability.

8. Disclaimer of Warranties

In the absence of such provisions, either party may terminate an engagement by providing thirty days written notice to the other party. Upon termination, the Client shall pay for all services rendered and expenses incurred up to the effective date of termination. Sections of these terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitations of liability, indemnification, and confidentiality obligations.

The affected party shall provide prompt notice of the force majeure event and shall use reasonable efforts to resume performance as soon as practicable. If the force majeure event continues for more than sixty days, either party may terminate the affected engagement without further liability.

16. Entire Agreement

These Terms of Service, together with any applicable Statement of Work, Master Services Agreement, or other service-specific agreement, constitute the entire agreement between you and UJ Services regarding your use of our website and the provision of services. These terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between the parties regarding the subject matter. No modification of these terms shall be effective unless in writing and signed by an authorized representative of UJ SERVICES LLC.

17. Severability and Waiver
